Tax Snaps welcomes you to our online expense recording software, which has been created to assist individuals and small businesses.
These Terms of Service are intended to explain our obligations as a software service provider and your obligations as a user. Please take the time to read these Terms of Service.
When you (“You”, “Your”, “Yourself”, the “User” or the “Subscriber”) use Tax Snap’s services, products, and website (referred to in this document as the “Service”) and enter data (“Data”), You enter into a legal agreement with Tax Snaps (“We”, ”Us”, “Our”, “Tax Snaps” means Tax Snaps Limited, New Zealand Company Number: 4419638).
Unless we otherwise agree with You in writing, You are bound by the terms and conditions set out in these Terms of Service (“Terms”).
The Tax Snaps Service may change over time. Tax Snaps reserves the right to change these Terms at any time at its sole discretion, effective upon the posting of modified Terms. It is Your obligation to ensure that You have read and understand the current Terms.
Accepting the Terms
Before using the Service You must accept the Terms, and You may not use the Service if You do not accept the Terms.
Ways to accept the Terms:
by accepting the Terms during User registration; or
by using the Service in any capacity. When You start using the Service, Tax Snaps will assume that You have accepted the Terms. Once You use the Service You are bound by the Terms until You terminate Your relationship with Tax Snaps.
By accepting the Terms, You represent and warrant that You have read and understood the Terms.
Tax Snaps Provision of Service
Tax Snaps may change its Service, delete or add new features at a future date. By agreeing to the Terms, you acknowledge and agree that the form and nature of the Service may change without prior notice to You.
You acknowledge and agree that Tax Snaps may suspend or discontinue, without prior notice to You and at the sole discretion of Tax Snaps, some or all of its Service, making the Service unavailable to You. If Tax Snaps deems it necessary to discontinue the Service for any reason, You will receive at least 14 days notice before Your account is closed.
You acknowledge and agree that if Tax Snaps disables access to Your account, You may not be able to use the Service or access Your account details, files or other content that may be contained in Your account.
While there are not currently any restrictions on the number or size of the Data You can upload through the Service, You agree that Tax Snaps can set these limits at any time, at Tax Snaps’ sole discretion.
Tax Snaps may change the pricing of its Service from time to time at its sole discretion. You will be notified by email at least 30 days in advance of any price change that will affect Your current subscription to the Service.
Use of the Service by You
In order to gain access to the Service, You may be required to give Tax Snaps information about Yourself. You agree that You will only provide us with information that is accurate, correct, and up to date.
You will be required to register with Tax Snaps and select an email address (user name) and password before being allowed to access the Service. You may also be required to select an occupation.
You agree to use the Service only for purposes that are permitted both by the Terms and by any applicable law, regulation, or generally accepted practices or guidelines in relevant local, national, and international jurisdictions.
You agree to only access (or try to access) and use the Service through interfaces provided by Tax Snaps. You shall not access (or try to access) and use any of the Service through any automated means such as scripts, robots, or web crawlers or any other automated means.
You agree not to impersonate any person or entity, or falsely state or otherwise misrepresent Yourself, Your personal information, or Your affiliations with any person or entity.
You agree that You will not use or attempt to use another user’s account.
You shall not upload, post, transmit, store, or otherwise make available content that contains software viruses or any other computer code, files, or programs that could interrupt, destroy or limit the functionality of the computer software or hardware or telecommunications equipment of Tax Snaps or its users.
You shall not upload, post, transmit, store, or otherwise make available content that is pornographic or otherwise explicit in nature. Tax Snaps reserves the right to remove any and all explicit content at its sole discretion.
You agree not to reproduce, copy, sell, trade, or resell all or any part of the Service for any purpose, including merchandise and hardware sold through Tax Snaps.
You agree to be responsible for keeping Your passwords associated with your Tax Snaps account secret and secure. Tax Snaps may be able to help you retrieve lost passwords, but may not be held responsible or liable if it cannot help locate or reset a lost password.
You agree that You will be solely responsible for all activities that occur under Your account, whether You are aware of them or not.
If You become aware of any unauthorised use of Your password or account, You agree to notify Tax Snaps via e-mail as soon as possible.
You agree that You are solely responsible for any breach of Your obligations under the Terms and for the consequences of any such breach. Tax Snaps has no responsibility to You or to any third party for such breaches or the consequences of such breaches (including losses or damage that Tax Snaps may incur).
You must be at least 16 years old to be allowed to register and use the Service. If You are not at least 16 years old, You shall not attempt to register.
Privacy Information
You agree to the use of Your personal information and data in accordance with Tax Snap’s Privacy Policy, which can be found here. The privacy policy explains how Tax Snaps handles and stores Your personal information and protects Your privacy. Please take the time to read this policy.
Service Content
You acknowledge and understand that all information (including data files, e-mails, computer software, advertisements, sponsored content and others), which You may have access to when using the Service, are the sole responsibility of the entity from which such content (“Content”) originated.
You may come across Content when using the Service that may be protected by intellectual property rights owned by entities who provide that Content. You may not modify, rent, lease, loan, sell, distribute or create any derivative products or services (or parts of products or services) based on this Content.
You understand that when using the Service, You may come across material that You find objectionable, offensive or indecent and that You are using the Service at Your own risk.
You agree that You are solely responsible any Content that You create, transmit or display when using the Service and are responsible for any consequences of such actions.
Tax Snaps may remove any Content from user accounts at any time and for any reason at the sole discretion of Tax Snaps.
Proprietary Rights
You acknowledge and agree that Tax Snaps is the sole proprietor of all legal rights and titles to the Service, including, but not limited to, any intellectual property rights associated with the Service. This ownership applies whether or not those rights are registered and wherever in the world the rights may exist.
You acknowledge and agree that some or all of the Content may be classified as confidential by Tax Snaps and that You shall not disclose such information without expressed, written consent from Tax Snaps.
You shall not use any of Tax Snaps’ trade names, trade marks, service marks, logos, domain names and other distinctive brand features without prior written approval from Tax Snaps.
You shall not duplicate, change, create a derivative work of, reverse engineer, decompile, or attempt to obtain the source code of Tax Snaps’ software (in whole or in part).
You shall not remove, obscure, or alter any proprietary rights notices that may be found attached to or as a part of some Content.
License from Tax Snaps
When abiding by the Terms, You can enjoy Tax Snaps’ Service at a monthly or annual cost. This opportunity shall be referred to as the “License.” This License is for the sole purpose of allowing You to use and benefit from the Service.
You shall not assign Your rights (wholly or in part) to use the Service to another user. You shall not agree to or allow another entity to have a security interest in or over Your rights to use the Service, or otherwise transfer or trade any part of Your rights to use the Service as detailed in the Terms.
Content License from You
You will retain copyright and other proprietary rights You may already hold in receipts, and other accounting documentation (“Material”) that You submit, or otherwise make available via the Service. Tax Snaps maintains the right to reproduce, modify, translate, publish, and distribute any Material that You make available via the Service for the purposes of providing the Service.
Tax Snaps acknowledges and agrees that it does not obtain rights, titles or interest from You on the Materials that You submit, transmit, or otherwise make available. You agree that You are responsible for making sure Your rights regarding the Materials are protected and enforced and that Tax Snaps has no responsibility to protect or enforce them on Your behalf.
You acknowledge and agree that Tax Snaps may make the Material available to other companies, organisations, individuals, and Users in accordance with Tax Snaps’ Privacy Policy for the purposes of providing the Service.
You understand that in order for Tax Snaps to provide the Service to our Users, Tax Snaps may transmit your Material over various public networks and in various media and may make changes to your Material to meet the technological requirements of such networks and media.
You acknowledge Tax Snaps may be required by New Zealand Inland Revenue Department to disclose Your information pursuant to section 22(8)(b) of the Tax Administration Act 1994 in accordance with the guidance contained in the Standard Practice Statement SPS 13/01 or any equivalent Standard Practice Statement, regulation or legislation. Tax Snaps will, where practicable advise You that such disclosure is made.
Ending Your Relationship with Tax Snaps
The Terms will continue to apply until the User or Tax Snaps terminates the relationship.
To end your legal agreement with Tax Snaps, You may send a written request of termination to Tax Snaps.
Tax Snaps may terminate its legal agreement with You if in its sole opinion:
You have not adhered to any or all of the provisions in the Terms;
it appears that You do not intend to or are unable to comply with the Terms;
You are not up to date with Your subscription payments;
Tax Snaps is required to by law;
a partner that offered services to You in conjunction with Tax Snaps has ended its relationship with Tax Snaps; or
the Service is no longer commercially viable for Tax Snaps
When the relationship between You and Tax Snaps is terminated, all the legal rights, obligations and liabilities enumerated in the Terms shall survive such termination.
Tax Snaps will retain Your data indefinitely, including data You upload during our trial period. Tax Snaps will also retain Your data indefinitely upon ending Your relationship with Tax Snaps.
Service Limitations
You acknowledge, agree and understand that You use the Service (including downloading Content) at Your own risk and that the Service is provided by Tax Snaps “as is” and “as available”. Tax Snaps gives no warranties of any kind either expressed or implied.
Without limiting the foregoing, Tax Snaps does not warrant that the Service will meet Your requirements or that it will be suitable for any particular purpose. To avoid doubt, all implied conditions or warranties are excluded in so far as is permitted by law, including (without limitation) warranties of merchantability, fitness for purpose, title and non-infringement.
You warrant and represent that You are acquiring the right to access and use the Service for the purposes of a business and that, to the maximum extent permitted by law, any statutory consumer guarantees or legislation intended to protect non-business consumers in any jurisdiction does not apply to the supply of the Service, the Website or these Terms.
Tax Snaps does not guarantee that your use of the Service will be uninterrupted, timely, secure, or free from errors, that information obtained from the Service will be accurate or reliable or that defects in the software of the Service can or will be corrected.
Any material downloaded or otherwise obtained when using the Service is obtained at Your own risk. You will be solely responsible for any damage to Your computer system or other device used to access the Service through downloading or otherwise obtaining that Material.
Information and advice received from Tax Snaps, its Users, or its Content, whether oral or written, shall not constitute any warranty not otherwise expressed in the Terms.
Tax Snaps offers a cloud based software service to enable You to capture, store and summarise Your expenses. It does not prepare or submit any Tax Returns such as Your GST returns or Income Tax returns to the Inland Revenue Department. It is Your responsibility to manage and submit Your information to Your accountant, tax agent and or the Inland Revenue Department.
Any tax information or advice that may be provided by Tax Snaps or any of its employees can not be relied upon for complete and accurate tax advice.
Limitation of Liability
Tax Snaps shall not be liable or responsible for any reliance You place on the completeness, accuracy, or existence of advertising or the outcomes of relationships and transactions You may have with advertisers.
Tax Snaps shall not be liable or responsible for any changes Tax Snaps makes to its Service, for any permanent or temporary restrictions or cessations of the Service, or for any harm this may cause You.
Tax Snaps shall not be liable or responsible for the deletion of, corruption of, or failure to store any Material or other data used in or maintained by the Service.
Tax Snaps shall not be liable or responsible for Your failure to provide correct, accurate, and up-to-date account information.
Tax Snaps shall not be liable or responsible for Your failure to keep your password and account information secure.
Tax Snaps shall not be liable or responsible for any illegible images, incomplete or inaccurate data that You upload using the Service.
Tax Snaps shall not be liable or responsible for preparing or submitting any Tax Return such as Your GST return or Income Tax Return.
Tax Snaps shall not be liable or responsible for any incomplete or inaccurate tax information and advice it may supply.
Other Content
The Service may include hyperlinks to other web sites, content or other resources. Tax Snaps is not responsible for the content or availability of these third-party resources. Tax Snaps does not necessarily endorse any advertising, products or other materials featured, or available on other web sites or resources.
Other Terms
You agree that Tax Snaps may send You notices via e-mail or alerts within the Service.
Governing law and jurisdiction
If the information or Data You are accessing using the Service and the Website is solely that of a person who is a tax resident in New Zealand at the time that You accept these Terms then New Zealand law governs this Agreement and You submit to the exclusive jurisdiction of the courts of New Zealand for all disputes arising out of or in connection with this Agreement.
Trademarks
Tax Snaps graphics, logos, designs, page headers, button icons, scripts, and service names are registered trademarks, trademarks or trade dress of Tax Snaps. They may not be used in connection with any product or service that is likely to cause confusion.
